Chermaine Chen Yinn Li is a Senior Associate at Daniel & Wong. She is a part of the firm’s Corporate and Commercial practice group, specialising in mergers and acquisitions.

Chermaine’s practice spans a broad spectrum of corporate and commercial matters, including mergers and acquisitions (M&A), banking and finance, real estate transactions and projects, regulatory compliance, corporate advisory, and commercial transactions. She has been actively involved in due diligence exercises for Malaysian companies and has advised clients on licensing processes and regulatory requirements.
Chermaine graduated with a Bachelor of Laws (Hons) from Cardiff University and was called to the Bar of the Honourable Society of the Middle Temple in 2018. She was admitted to the Malaysian Bar in 2019.
Her professional experience includes training in a capital markets and M&A team, practising in a boutique firm with a focus on entertainment law, and working in-house at a fund management company before returning to private practice.
Chermaine’s combined experience in private practice and an in-house role has equipped her with a practical understanding of the legal and commercial considerations that businesses face, allowing her to craft solutions that align with her clients’ operational and strategic goals.
Some of her key notable transactions include, but are not limited to: –
- Assisted in advising Catcha Nexible Holdings Sdn Bhd (a wholly owned subsidiary of Catcha Digital Berhad) in its acquisition of 51% equity interest in Nexible Solutions Sdn Bhd.
- Assisted in advising a Labuan-based company in the acquisition of a 51% stake in a leading digital marketing company with operations in Malaysia and Thailand.
- Assisted in advising iMedia Asia Sdn Bhd (a wholly owned subsidiary of Catcha Digital Berhad) in its acquisition of 70% shares in TR Media Bytes Sdn Bhd.
- Assisted in advising Sweetmag Solutions (M) Sdn Bhd in its allotment of majority shares to a Malaysian listed entity, GDEX Berhad. The transaction entailed a combination of the following exercises, namely for GDEX Berhad to purchase an agreed percentage of shares in Sweetmag Solutions (M) Sdn Bhd from the existing major shareholder and simultaneously, for GDEX Berhad to subscribe for an agreed percentage of shares in Sweetmag Solutions (M) Sdn Bhd, of which the number of shares ultimately held by GDEX Berhad to be collectively at 51% of the enlarged shares in Sweetmag Solutions (M) Sdn Bhd.
- Assisted in the legal due diligence, preparation of the due diligence report and acquisition of the business and assets agreement involving the acquisition of several companies in the pest control and hygiene sectors.
- Assisted in conducting legal due diligence, preparing legal documents and advising Axteria Group Berhad, a company listed in the Main Market of Bursa Securities, in a corporate exercise involving shares issuance of up to 213,660,000 shares, representing approximately 30% of the existing total number of issued shares (excluding treasury shares).
- Assisted in advising Loken Group on its proposed development of a renewable energy complex, which will cover multiple bio-refineries, including the initial phase of a Sustainable Aviation Fuel (SAF) refinery.
- Assisted in advising Trina Solar Investment Pte Ltd in respect of its successful tender from Sarawak Energy Berhad for a 71-megawatt (MW) floating solar photovoltaic (FPV) project in Batang Ai, which will constitute the first large-scale FPC project to be built in Sarawak, particularly on the joint venture agreement and other legal matters specific to the Malaysian aspects for the transaction.
- Assisted in advising a company on their proposed business model, which is to set up a platform acting as an intermediary in B2B payments to allow businesses to make payments to their suppliers with the use of corporate credit cards, particularly where credit card payments are traditionally not accepted by businesses/suppliers in usual B2B transactions.
- Assisted in advising a company which owns an integrated spend management platform on the application to the Central Bank of Malaysia for a remittance business licence and e-money licence.
- Advised a Singapore-based company on local regulatory requirements and market entry strategies to support its expansion into the logistics sector in Malaysia.
- Advised a People’s Republic of China (“PRC“)-based company on the legal and regulatory requirements for market entry into Malaysia, with a focus on power batteries, electric drives and charging infrastructure.
- Advised a leading PRC-based engineering company on the establishment of local presence and undertaking of Engineering, Procurement and Construction projects in Malaysia.
- Advised a PRC-based state-owned company specialising in sustainable construction and eco-environmental protection technologies on licensing requirements and regulatory compliance for subcontracting in a government public road construction project in Malaysia.
- Advised a company seeking to undertake catering, housekeeping and janitorial services in an offshore setting, on compliance with the PETRONAS licensing requirements.
- Advised a company on the applicable data privacy laws in Malaysia and the price control and profiteering laws in Malaysia.
- Assisted in advising on local licensing requirements for a company offering services in the food, transportation, hospitality, childcare, fitness and retail sectors.
- Assisted in advising a United Kingdom (“UK“)-based client on the termination mechanism in a distribution agreement, review of the distribution agreement, and review of the letter of intent.
- Assisted in the drafting and reviewing of agreements, including distribution agreement, purchase agreement, collaboration agreement, service provider agreement, joint venture agreement, shareholder agreement and software and maintenance agreement.
- Advising and drafting sale and purchase agreements and preparing ancillary documents, including memorandum of transfer, lodgement and withdrawal of private caveat forms, consent to transfer forms.
